Terms & Conditions

1. Acceptance of Terms

By accessing or using Screenjar or Olvy (hereinafter referred to as the "Services"), you acknowledge and agree to be bound by these Terms & Conditions ("Agreement"). If you do not agree to these terms, you must discontinue use of the Services immediately. These terms apply to all users, including individuals, businesses, and organizations.

2. License & Restrictions

Amoeboids grants you a non-exclusive, non-transferable, and revocable license to access and use the Services solely for their intended purposes. You agree that you shall not:

• Resell, sublicense, lease, distribute, or otherwise commercialize the Services without the explicit prior written consent of Amoeboids.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
• Use the Services in a manner that is unlawful, fraudulent, or infringes upon the rights of others.
• Attempt to gain unauthorized access to any part of the Services, including circumventing security features or restrictions.

3. Subscription, Billing & Payment

• Amoeboids reserves the right to modify pricing at any time. Any upcoming changes will be communicated within the Services and via email notifications.
• Upgrades take effect immediately upon successful payment of a pro-rated amount.
• Downgrades take effect only after the expiration of the current subscription period.
• No penalties or additional fees shall be imposed for downgrading a plan.

4. Payment failures & Non-payment

• In the event of a failed payment transaction, Amoeboids will attempt to process the payment twice within a designated period.
• If the payment remains unsuccessful after both attempts, access to the Services will be suspended until the outstanding balance is cleared.
• Any unauthorized chargebacks, fraudulent transactions, or payment disputes may result in immediate termination of the account at the sole discretion of Amoeboids.

5. Third party integrations & API access

• Amoeboids may provide third-party integrations for Screenjar and Olvy, enabling users to connect external tools and services.
• Where applicable, users subscribing to eligible plans may access REST APIs to retrieve or modify data within the Services.
• Users shall not modify, alter, or tamper with any part of the software beyond what is permitted through authorized integrations or API usage.

6. Account termination & Data deletion

• Users may voluntarily request account deletion at any time.
• Amoeboids reserves the right to suspend or terminate accounts due to violations of this Agreement, non-payment, fraudulent activity, or at its sole discretion.
• Upon termination of an account, all associated user data will be permanently deleted from Amoeboids' systems and cannot be recovered.

7. Support & Service availability

• Amoeboids provides support services during weekdays (IST 9 AM – 7 PM), excluding public holidays.
• Support inquiries shall be responded to within two (2) business days.
• Amoeboids makes no warranties regarding service uptime, availability, or uninterrupted access to the Services.

8. Limitation of liability

• To the maximum extent permitted by law, Amoeboids shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of data, business disruption, or financial losses.
• The total liability of Amoeboids, under any circumstance, shall not exceed the total amount paid by the user for the Services within the last subscription period.

9. Governing law & Dispute resolution

• This Agreement shall be governed by and construed in accordance with the laws of India.
• Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in India.

10. Modification to Terms

Amoeboids reserves the right to modify, update, or amend these Terms & Conditions at any time, with or without prior notice. Your continued use of the Services following such modifications shall constitute acceptance of the updated terms.

11. Exclusion for Marketplace apps (Atlassian & monday.com)

These Terms & Conditions apply exclusively to direct purchases of Screenjar and Olvy through our payment provider. They do not govern applications sold through the Atlassian Marketplace or monday.com Marketplace. For terms and conditions related to purchases made through these platforms, users must refer to the respective policies.
